Terms of Use
These Terms of Use ("Terms") govern access to and use of the Sun Estimate website, applications, APIs, software tools, proposal systems, calculators, communications, and related services (collectively, the "Services") operated by Sun Estimate, a service operated and managed by Active Net Inc. ("Sun Estimate," "we," "our," or "us").
By accessing, browsing, registering for, submitting information through, or otherwise using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.
These Terms should be read together with our Privacy Policy, available at sunestimate.ai/privacy, and our Cookie Policy, available at sunestimate.ai/cookie-policy, both of which are incorporated into these Terms by reference. In the event of any conflict between these Terms and the Privacy Policy or Cookie Policy regarding data collection, user rights, or consent mechanisms, the Privacy Policy and Cookie Policy control.
Acceptance of Terms and Eligibility
The Services are intended solely for individuals and businesses capable of forming legally binding agreements under applicable law. By using the Services, you represent and warrant that you are at least eighteen (18) years old and possess the legal authority to enter into these Terms on your own behalf or on behalf of a business entity.
If you use the Services on behalf of a company, solar installation business, financing organization, dealership, or other entity, you represent and warrant that you are authorized to bind that entity to these Terms.
Sun Estimate reserves the right to refuse access to the Services, suspend accounts, terminate relationships, or restrict platform usage at any time and for any lawful reason.
Description of Services and User Roles
Sun Estimate operates a business-to-business-to-consumer ("B2B2C") solar estimation and lead-generation platform that connects homeowners seeking solar-related information or proposals with participating solar installation companies, financing providers, and related businesses.
The Services may include solar estimation tools, proposal generation systems, lead routing technologies, utility usage integrations, solar production modeling, financing estimate tools, communication systems, and related software functionality.
Sun Estimate serves two primary categories of users: homeowners and solar providers. Homeowners may use the Services to request solar estimates, compare potential solar savings scenarios, analyze rooftop solar suitability, connect with solar installation companies or financing partners, and receive communications related to solar products and services.
Solar providers, including installers, lenders, developers, dealers, brokers, financing organizations, and related commercial entities, may use the Services to receive homeowner leads, proposal-related information, project inquiries, and related customer opportunity data.
Sun Estimate does not manufacture solar equipment, perform installations, provide electrical contracting services, issue financing directly, guarantee financing approval, or act as a licensed contractor unless expressly stated otherwise in a separate written agreement.
Sun Estimate is not a party to agreements entered into between homeowners and solar providers. Any contractual relationship formed between a homeowner and a solar provider exists solely between those parties.
Estimates, Solar Proposal, and Performance Disclaimer
The solar estimates, financial projections, production calculations, energy analyses, utility savings estimates, system sizing recommendations, financing scenarios, and related outputs generated through the Services are provided solely for informational and preliminary evaluation purposes.
All estimates generated through the Services are approximations derived from automated systems, third-party datasets, publicly available information, user-submitted inputs, utility assumptions, satellite imagery, weather modeling, and external services, including the Google Solar API.
Some or all solar estimates and outputs generated through the Services may be produced by automated systems, algorithmic models, or artificial intelligence tools that process satellite imagery, geographic coordinates, utility usage inputs, and solar production data. These outputs are generated without human review prior to delivery and have not been validated by a licensed solar engineer, electrical contractor, or energy professional before being presented to you. You should treat all platform outputs as preliminary guidance only, and you are solely responsible for obtaining independent professional review before making any financial, contractual, or installation decision based on such outputs.
Because solar production and financial outcomes depend on numerous variables beyond Sun Estimate's control, including roof conditions, utility rate changes, weather patterns, shading, installation quality, permitting requirements, financing terms, maintenance conditions, regulatory changes, battery usage behavior, and energy consumption patterns, Sun Estimate does not guarantee the accuracy, completeness, reliability, availability, or suitability of any estimate or proposal.
Estimated savings, return on investment, payback periods, tax incentives, rebate eligibility, production forecasts, and utility offsets are not guarantees of future performance or financial outcomes.
Users acknowledge that third-party data providers, including Google Solar API services and utility data integrations, may contain inaccuracies, delays, interruptions, outdated information, or unavailable data. Sun Estimate does not warrant or guarantee the accuracy, uptime, or continued availability of any third-party data source integrated into the Services.
Users are solely responsible for independently evaluating solar proposals, financing arrangements, installer qualifications, engineering requirements, tax implications, legal obligations, and final purchasing decisions before entering into any transaction or agreement.
User Obligations and Prohibited Conduct
Users agree to use the Services solely for lawful purposes and in compliance with all applicable laws, regulations, and contractual obligations.
Users are prohibited from:
- Submitting false, misleading, fraudulent, or inaccurate information
- Impersonating another individual or business entity
- Using the Services to violate applicable consumer protection, telemarketing, privacy, or data protection laws
- Interfering with or disrupting platform functionality, servers, networks, or security systems
- Attempting to gain unauthorized access to accounts, systems, or data
- Copying, scraping, reverse engineering, decompiling, or extracting platform source code, algorithms, models, or proprietary systems
- Using automated bots, crawlers, or scripts to access or harvest platform information
- Transmitting malware, harmful code, or malicious content
- Circumventing lead routing systems or compensation mechanisms
- Using homeowner data for unauthorized marketing activities
- Reselling, redistributing, sublicensing, or commercially exploiting the Services except as expressly authorized
- Using the Services in a manner that could damage Sun Estimate's reputation, operations, relationships, or legal compliance obligations
- Generating, submitting, or routing fabricated, duplicate, or artificially inflated inquiries through the Services for any purpose, including testing, gaming lead-distribution or compensation structures, or inflating platform usage metrics
- Using automated tools, artificial intelligence systems, large language model applications, or scripted processes to analyze, extract, replicate, or reverse engineer the platform's estimation logic, lead-routing algorithms, pricing models, or proprietary scoring methodologies
Homeowners are responsible for ensuring that all information submitted through the Services is accurate, current, and complete.
Solar providers further agree that they will comply with all applicable consumer protection laws, licensing requirements, TCPA obligations, marketing regulations, privacy laws, and industry standards when using homeowner information received through the Services.
Solar providers acknowledge that homeowner leads may be distributed to multiple participating providers unless otherwise specified.
Intellectual Property Rights
The Services, including all software, AI systems, proposal technologies, algorithms, calculators, databases, text, graphics, trademarks, logos, visual interfaces, designs, compilations, workflows, and related intellectual property, are owned by or licensed to Sun Estimate and are protected under applicable intellectual property and proprietary rights laws.
Except for the limited right to access and use the Services in accordance with these Terms, no license, ownership interest, or other right is granted to users.
Users are prohibited from reproducing, distributing, modifying, creating derivative works from, publicly displaying, republishing, transmitting, selling, licensing, or otherwise exploiting any portion of the Services without prior written authorization from Sun Estimate.
"Sun Estimate," associated logos, branding elements, and related marks are proprietary trademarks or service marks of Sun Estimate or its licensors.
Privacy Policy and Communications Consent
Use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Services, users acknowledge and understand that Sun Estimate collects, processes, and may disclose personal information as described in the Privacy Policy, including disclosures to participating solar providers, service providers, analytics vendors, and related commercial partners. Where California law or other applicable law requires separate affirmative consent, including the right to opt out of the sale or sharing of personal information under the CCPA/CPRA, those rights are governed by the Privacy Policy and are not waived by general use of the Services.
Users acknowledge that communications from Sun Estimate may be delivered through telephone calls, SMS or MMS messages, emails, and other communication channels as described in the Privacy Policy. Consistent with FCC regulations effective January 27, 2025, prior express written consent for telemarketing communications authorizes Sun Estimate to contact users directly. Solar provider partners who receive homeowner lead information through the Services must obtain their own separate prior express written consent before initiating any telemarketing calls or promotional messages to those homeowners.
Users further acknowledge that such communications may be subject to applicable telecommunications, anti-spam, privacy, consumer protection, platform, and marketing regulations.
Users understand that consent to receive communications is not a condition of purchase and that message and data rates may apply depending on wireless carrier plans.
Use of the Services is also subject to our Cookie Policy at sunestimate.ai/cookie-policy, which governs the deployment of cookies, tracking technologies, consent preferences, and related data practices on the platform. The Cookie Policy is incorporated into these Terms by reference.
Limitation of Liability
To the fullest extent permitted under applicable law, Sun Estimate and its affiliates, officers, directors, employees, licensors, contractors, vendors, service providers, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or speculative damages arising out of or relating to the Services, including damages relating to lost profits, lost business opportunities, lost savings, loss of data, service interruptions, inaccurate estimates, financing outcomes, installation disputes, utility savings projections, or third-party conduct.
Sun Estimate does not guarantee the quality, legality, licensing status, financial condition, insurance coverage, performance, pricing, responsiveness, or workmanship of any solar provider, installer, financing partner, or third party connected through the Services.
Certain jurisdictions may not permit limitations on implied warranties or exclusions of certain damages. In such jurisdictions, portions of these limitations may not apply to the extent prohibited by law.
Release
Users voluntarily assume all risks associated with interactions, negotiations, contracts, installations, financing arrangements, and communications involving solar providers and third parties connected through the Services.
To the fullest extent permitted by California law, users release Sun Estimate and its affiliates from any and all claims, demands, damages, liabilities, losses, disputes, or causes of action arising out of or relating to transactions or interactions with solar providers or third parties.
Users expressly waive the protections of California Civil Code Section 1542, which states:
"A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
Users acknowledge that they understand the significance and consequences of this waiver.
Indemnification
Users agree to defend, indemnify, and hold harmless Sun Estimate and its affiliates, officers, directors, employees, contractors, licensors, and partners from and against any claims, damages, liabilities, judgments, penalties, fines, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or relating to:
- Use or misuse of the Services
- Violation of these Terms
- Violation of applicable laws or regulations
- Infringement of intellectual property or privacy rights
- False, misleading, or unlawful information submitted through the Services
- Conduct, communications, or transactions involving third parties
Dispute Resolution and Arbitration
Before initiating any arbitration proceeding, the party asserting a claim must provide the other party with written notice describing: (a) the nature and basis of the claim; (b) the specific relief sought; and (c) the factual basis for the claim. The parties shall have thirty (30) days from delivery of that notice to attempt in good faith to resolve the dispute informally. Satisfaction of this notice requirement is a condition precedent to the commencement of arbitration. Notices to Sun Estimate under this provision should be sent to the contact address in the Contact Information section of these Terms.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its applicable consumer or commercial arbitration rules.
Arbitration shall be conducted in California unless otherwise required by law or mutually agreed by the parties.
Notwithstanding the foregoing, either party may bring an individual claim in a small claims court of competent jurisdiction, provided the claim falls within that court's jurisdictional limits and is brought and maintained on an individual basis only. Pursuit of a small claims action does not waive the right to demand arbitration if the claim is transferred or amended outside the small claims court's jurisdiction.
Users agree that disputes shall be resolved solely on an individual basis and not as part of any class action, collective action, representative proceeding, or private attorney general action.
Users waive any right to participate in class-wide litigation or jury trials to the fullest extent permitted by law.
Nothing in this arbitration provision waives, limits, or restricts any representative claim brought under the California Private Attorneys General Act (Cal. Labor Code Section 2698 et seq.) to the extent such a claim cannot be compelled to individual arbitration under governing California law. Any such PAGA representative claims shall be stayed pending resolution of any individual PAGA claim in arbitration, consistent with applicable authority.
Notwithstanding the foregoing, Sun Estimate may seek injunctive relief or equitable remedies in any court of competent jurisdiction for claims involving intellectual property rights, unauthorized access, data misuse, confidentiality violations, or unlawful platform activity.
Filing fees and arbitration costs shall be allocated in accordance with the applicable AAA rules in effect at the time arbitration is initiated. For consumer claims, Sun Estimate will pay the AAA administrative fees and arbitrator compensation in excess of the amount a user would have paid to file in a court of competent jurisdiction, unless the arbitrator determines the claim to be frivolous. Each party shall bear its own attorneys' fees and costs unless the arbitrator awards fees to the prevailing party under applicable law.
If any portion of this arbitration provision is deemed unenforceable, the remaining provisions shall remain enforceable to the fullest extent permitted by law.
Governing Law and Venue
These Terms and any dispute arising out of or relating to the Services shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
Subject to the arbitration provisions above, any legal action permitted to proceed in court shall be brought exclusively in the state or federal courts located in California, and users consent to the personal jurisdiction and venue of those courts.
General Provisions
These Terms constitute the entire agreement between users and Sun Estimate concerning the Services and supersede all prior or contemporaneous communications, understandings, or agreements relating to the subject matter herein.
If any provision of these Terms is found unenforceable or invalid, the remaining provisions shall remain in full force and effect.
Sun Estimate's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.
Sun Estimate may assign, transfer, or delegate its rights and obligations under these Terms without restriction. Users may not assign or transfer their rights or obligations without prior written consent from Sun Estimate.
Sun Estimate shall not be liable for any failure or delay in performing its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics or pandemics, government actions or orders, changes in law or regulation affecting the solar industry, Internet or telecommunications disruptions, cyberattacks or data security incidents beyond Sun Estimate's reasonable control, third-party service provider outages (including Google Solar API or utility data integration failures), or labor disputes. Sun Estimate will use commercially reasonable efforts to resume full service as promptly as practicable following any such event and will notify users of material service disruptions where feasible.
Sun Estimate reserves the right to modify these Terms at any time. For non-material changes, such as corrections, clarifications, or updates to reflect new features, the updated Terms become effective upon posting. For material changes, including changes that limit user rights, modify the arbitration or class action waiver provisions, or alter the limitation of liability, Sun Estimate will provide advance notice by posting a prominent announcement on the Services or by direct notification to registered users where feasible, at least fourteen (14) days before the changes take effect. Continued use of the Services after any update constitutes acceptance of the revised Terms, except that material changes to the arbitration provision shall not apply retroactively to disputes that arose before the effective date of the change.
Third-Party Services and Technology Providers
The Services incorporate third-party APIs, datasets, and technology platforms to deliver solar estimation and related functionality. The following disclosures apply to those integrations.
Google Solar API and Google Maps Platform. Roof analysis, solar potential modeling, and satellite imagery features within the Services are powered by the Google Solar API and Google Maps Platform, operated by Google LLC. Your use of these features is subject to Google's Terms of Service (policies.google.com/terms) and Google's Privacy Policy (policies.google.com/privacy). Sun Estimate's use of Google APIs is subject to the Google Maps Platform Terms of Service. Google's maps and related data are provided "as is" and Sun Estimate makes no representations regarding the accuracy or currency of data sourced from Google services.
Analytics and Advertising Services. The Services use Google Analytics 4, Google Tag Manager, and Google Ads conversion tracking, as described in our Cookie Policy at sunestimate.ai/cookie-policy. These services are operated by Google LLC and are subject to Google's terms and privacy practices. No analytics or advertising cookies activate without your prior consent through the platform's consent banner.
Utility Data Integrations. Where users authorize access to utility usage data through third-party integrations, those integrations are governed by the terms and privacy policies of the applicable utility or data provider. Sun Estimate does not warrant the accuracy, completeness, or availability of utility data obtained through third-party integrations.
Sun Estimate is not responsible for the terms, availability, accuracy, or practices of any third-party service provider and does not guarantee the continued availability of any feature that depends on third-party data or API access. Sun Estimate will make commercially reasonable efforts to notify users of material changes to third-party integrations that affect core platform functionality.
No Professional, Tax, or Financial Advice
The solar estimates, financial projections, incentive calculations, and related outputs generated through the Services are provided for informational and preliminary evaluation purposes only. They do not constitute and should not be construed as tax advice, legal advice, financial advice, engineering guidance, or professional consultation of any kind.
Tax incentives. Estimates relating to the federal Investment Tax Credit (ITC), state tax incentives, rebates, net energy metering credits, and other government or utility incentive programs are approximate and depend on individual financial circumstances, system specifications, installation timing, and applicable law, all of which are subject to change. Sun Estimate is not a licensed tax advisor and does not represent that any user will qualify for any particular incentive. Users should consult a qualified tax professional before making decisions based on incentive estimates generated through the Services.
Financial projections. Savings estimates, payback periods, return on investment figures, and utility bill offset projections are models based on historical data, assumptions, and user-submitted inputs. Actual results will vary. Nothing in the Services constitutes an offer of financing or a guarantee of any financial outcome.
Engineering and installation. System sizing recommendations, panel counts, and equipment specifications generated through the Services are preliminary and have not been verified by a licensed solar engineer or electrical contractor. Final system design and engineering must be performed by a qualified professional following a physical site assessment.
Nothing in the outputs generated through the Services creates a professional, fiduciary, or advisory relationship between you and Sun Estimate or any solar provider connected through the platform.
Solar Provider Standards and Obligations
This section applies to solar providers, including installers, dealers, lenders, financing organizations, and related commercial entities, that access the Services to receive homeowner leads, inquiries, or proposal data.
By accessing the Services, each solar provider represents, warrants, and covenants on a continuing basis that it:
- (a) holds, and will maintain in good standing for the duration of its use of the Services, all licenses, permits, certifications, and bonds required by federal, state, and local law to perform solar installations, electrical contracting, and related services in each jurisdiction where it operates or intends to operate
- (b) maintains commercial general liability insurance, workers' compensation insurance, and any other insurance required by applicable law or by the standard practices of the solar installation industry
- (c) will use homeowner information received through the Services solely to respond to the specific homeowner inquiry that generated the lead, and will not use that information for unrelated marketing purposes, resell it to additional parties, or share it with affiliates not involved in fulfilling that inquiry, without the homeowner's separate, informed consent
- (d) will obtain its own prior express written consent, as required by the Telephone Consumer Protection Act (47 U.S.C. Section 227) and FCC rules effective January 27, 2025, before initiating any telemarketing call, automated message, or promotional text message to a homeowner, and acknowledges that no such consent is conveyed or implied by Sun Estimate's transmission of lead information
- (e) will not represent to homeowners that it is affiliated with, endorsed by, or acting as an agent of Sun Estimate except to the extent expressly authorized in writing
- (f) will not submit fraudulent, fabricated, or duplicate inquiries through the Services and will not manipulate the platform's lead-routing, pricing, or distribution systems
Breach of any of these representations by a solar provider may result in immediate suspension or termination of access to the Services without notice and will constitute grounds for an indemnification claim under the Indemnification section of these Terms. Sun Estimate reserves the right to audit compliance with these obligations upon reasonable notice.
